Client agrees that by issuing payment for Trade order (Products), Client accepts and agrees to this Agreement and the Terms and Conditions shall exclusively govern this transaction, as though fully set forth in an executed writing between the parties, without regard to any other term or condition, including any term written or preprinted on any Clients purchase order, acceptance, payment document, or other communication that contradicts or purports to supersede this Agreement.
The terms and conditions of this Agreement and/or any purchase order accepted by the Client may not be canceled or altered unless expressly agreed upon in a written document that expressly addresses the canceled or altered term and is signed by an authorized House Designer.
House Designer maintains the right to place any order on hold, postpone shipping, cease performance, and/or reject any order for any reason, including but not limited to Client’s breach or default of this Agreement or inadequate credit.
Delivery to the carrier is delivery to the Client.
House Designer is not responsible for a supplier’s lead time.
House Designer is not responsible for any shipments made after the requested delivery date(s).
House Designer is not liable for any claims or damages resulting from a delivery delay or failure to fulfill due to Force Majeure. Force Majeure means excepting payment obligation, neither party shall be liable for any delay in or failure of performance resulting from fire, labor dispute, strike, war, insurrection, terrorist action, government restriction, act of God, or other force majeure event beyond its reasonable control, provided such party uses its best efforts to resume performance as promptly as possible following such an event.
INSPECTION OF GOODS
Please inspect each item upon receipt. House Designer assumes no responsibility or liability for any incorrect furniture ordered by us using a third party supplier including furniture that is the incorrect size, color, or arrives damaged.
House Designer is not responsible for any losses, damages, or other adverse financial consequences resulting from a third-party supplier’s breach or failure.
Immediately notify us via e-mail within 72 hours of delivery if there is anything wrong with your goods.
The Client shall be regarded to have accepted the product acquired according to this Agreement, and title will pass to the Client upon shipment. Immediately notify us via our contact e-mail if you detect a flaw with one or more pieces of furniture, or if you find that an item was erroneously described. Images may be required to demonstrate any damage.
You designate us as your agent for the purpose of contacting the item’s manufacturer to request a refund, repair, or replacement. It is the obligation of the Client to seek reimbursement from the carrier/supplier for lost or damaged freight.
RETURNS & REFUNDS
Numerous suppliers have different return policies. As one might expect, some return policies, such as 30 days or 14 days, are superior to others. Clients agree to the terms of the suppliers’ policies. (Please check)
Client agrees to pay the fees outlined in House Designer purchase order (Fees). All Fees shall be billed and settled in GBP.
The parties are independent contractors with no other relationship; neither party may make commitments or incur expenses in the name of the other.
The failure of a party to exercise a right, remedy, or breach of this Agreement does not constitute a waiver of that right, remedy, or breach or any other right, remedy, or breach.
These Agreement shall be governed by the laws of England and for all matters arising in connection with their use both We and You shall submit to the exclusive jurisdiction of the courts of England and Wales.
